Terms of Service

1. Acceptance of Terms

These Terms of Service (the "Terms") constitute a binding agreement between you and XV ("XV," "we," "us," or "our") governing your access to and use of the XV platform and related services (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 13 years of age (or the minimum age of digital consent in your jurisdiction, if higher) to create an account or otherwise use the Service. By using the Service, you represent and warrant that you meet this age requirement. If we become aware that an account has been created by a person under the applicable minimum age, we reserve the right to suspend or terminate that account.

3. User Accounts

You must supply accurate and complete information when registering for an account and must maintain the confidentiality of your login credentials. You are solely responsible for all activity that occurs under your account, whether or not authorized by you.

Usernames are subject to our naming conventions and may not impersonate any person or entity, nor infringe upon any third party's trademark or other proprietary rights.

XV reserves the right, in its sole discretion, to refuse, reserve, reclaim, rename, or remove any username where reasonably necessary to protect the integrity of the Service, comply with applicable law, prevent impersonation or infringement, enforce these Terms, or support operational or administrative requirements. Certain usernames may be reserved for XV, its staff, future services, or other official purposes.

4. User Content

As between you and XV, you retain all right, title, and interest in and to any content you submit, post, or display through the Service, including without limitation avatars, banners, backgrounds, biographical text, and hyperlinks (collectively, "User Content"). By submitting User Content, you grant XV a limited, non-exclusive, royalty-free license to host, store, reproduce, and display such User Content solely to the extent necessary to operate and provide the Service. You represent and warrant that you own or otherwise possess all rights necessary to submit and publish your User Content, and that such User Content does not violate the rights of any third party.

5. User Content Backups

While XV takes reasonable measures to maintain the integrity and availability of the Service, you are solely responsible for maintaining backups of any User Content you consider important. We do not guarantee that User Content can be recovered following deletion, corruption, account termination, or system failure.

6. Prohibited Content and Conduct

You shall not use the Service to post, upload, transmit, or otherwise distribute any content that:

• (a) is unlawful, fraudulent, or furthers any criminal activity;
• (b) contains malware, phishing schemes, or deceptive or malicious links;
• (c) harasses, threatens, or discloses the private information of any individual without consent ("doxxing");
• (d) exploits or endangers minors, or involves non-consensual intimate imagery;
• (e) infringes the intellectual property, publicity, or privacy rights of any third party; or
• (f) is designed to disrupt, impair, or circumvent the proper functioning of the Service or the experience of other users.

XV reserves the right, but assumes no obligation, to monitor, review, or remove any content that violates this Section.

7. Copyright Complaints

If you believe that content available through the Service infringes your copyright, you may submit a written notice of claimed infringement to our designated agent at the contact address below, containing, at minimum:

• (i) a description of the copyrighted work claimed to have been infringed;
• (ii) identification of the material alleged to be infringing and its location on the Service;
• (iii) your contact information, including a valid email address;
• (iv) a statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and
• (v) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

A user who believes their content was removed in error may submit a counter-notice containing comparable identifying information and a statement of good-faith belief that the material was removed as a result of mistake or misidentification.

XV reserves the right to remove or disable access to allegedly infringing content and to suspend or terminate the accounts of repeat infringers, in its sole discretion.

8. Payments

XV offers paid memberships, subscriptions, and other digital purchases through Stripe, our third-party payment processor.

By completing a purchase, you authorize Stripe to charge your selected payment method for all applicable fees, taxes, and recurring subscription charges, where applicable.

Pricing, billing frequency, renewal terms, cancellation options, and any applicable refund policy will be presented before you complete your purchase.

Unless otherwise required by applicable law or expressly stated at checkout, payments are non-refundable.

If a subscription expires, is cancelled, payment fails, or is otherwise terminated, any premium features, badges, or other subscription benefits associated with that subscription may be suspended or revoked.

9. Acceptable Use Policy

The following Acceptable Use Policy forms part of these Terms.

When using the Service, you agree that you will not:

• Violate any applicable law or regulation.
• Impersonate another individual or organization, or misrepresent your identity.
• Upload or distribute malware, viruses, phishing pages, malicious code, or deceptive links.
• Attempt to gain unauthorized access to any account, system, or data.
• Interfere with, disrupt, or impair the security, integrity, or availability of the Service.
• Circumvent rate limits, security measures, or access restrictions.
• Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service except where permitted by applicable law.
• Use automated systems, bots, scrapers, or crawlers to access the Service without our prior written permission.
• Upload content that infringes another person's intellectual property, privacy, publicity, or other legal rights.
• Harass, threaten, intimidate, stalk, or disclose another person's private information without authorization.
• Use the Service to distribute spam, scams, misleading information, or fraudulent content.

We reserve the right to investigate suspected violations of this Acceptable Use Policy and may remove content, suspend accounts, or permanently terminate access to the Service where appropriate.

Users may report content, profiles, or activity they believe violates these Terms or the Acceptable Use Policy by contacting us using the details provided at the end of these Terms. We may investigate such reports and take action where appropriate.

You are solely responsible for the websites, services, and content linked from your profile. XV does not endorse, verify, or assume responsibility for any third-party websites or resources accessible through user-submitted links.

10. Suspension of Accounts

XV reserves the right, at its sole discretion, to investigate suspected violations of these Terms or the Acceptable Use Policy and to remove content, restrict features, suspend accounts, or permanently terminate access to the Service where necessary to protect the Service, its users, or XV's legitimate interests.

Where appropriate, we may also remove or disable public access to profiles or individual content that violates these Terms, applicable law, or the rights of others, even if the associated account remains active.

Accounts that are suspended may be hidden from public view for the duration of the suspension.

11. Termination

You may terminate your account at any time through your account settings. XV may terminate or suspend your access to the Service, in whole or in part, for serious or repeated violations of these Terms. Upon termination of your account, your public profile and associated User Content may be removed from the Service, subject to any retention obligations imposed by applicable law.

12. Modification or Discontinuation of the Service

XV reserves the right to modify, suspend, or discontinue the Service, or any feature thereof, at any time and without liability, whether temporarily or permanently, with or without prior notice.

The Service may occasionally be unavailable due to scheduled maintenance, upgrades, security measures, or circumstances beyond our reasonable control. We do not guarantee continuous availability of the Service.

13. No Professional Advice

The Service and all content made available through it are provided for general informational and personal use only. Nothing on the Service constitutes legal, financial, tax, medical, or other professional advice. You should seek advice from an appropriately qualified professional before relying on any information obtained through the Service.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. XV DOES NOT WARRANT THAT THE SERVICE WILL OPERATE UNINTERRUPTED OR FREE OF ERROR.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XV, ITS OWNERS, OPERATORS, AFFILIATES, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF XV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Indemnification

You agree to indemnify, defend, and hold harmless XV and its operators from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, your User Content, or your violation of these Terms.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Australian Capital Territory, Australia, without regard to its conflict of law principles.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Australian Capital Territory and, where applicable, the courts of the Commonwealth of Australia.

Nothing in these Terms excludes, restricts, or modifies any consumer rights or remedies that cannot lawfully be excluded under applicable law, including the Australian Consumer Law.

18. Feedback

If you submit suggestions, ideas, feature requests, or other feedback regarding the Service, you grant XV a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to use, modify, reproduce, and incorporate that feedback into the Service without compensation, attribution, or any other obligation to you.

19. Modifications to These Terms

We may amend these Terms from time to time. Material changes will be indicated by updating the "Effective Date" above and, where appropriate, through additional notice on the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of such changes.

20. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms constitute the entire agreement between you and XV with respect to the Service and supersede any prior agreements between you and XV relating to the same subject matter.
